By accessing or using Jupaya AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

This Service is operated by ZEDBINARY LTD (Company Registration: RC7235301), headquartered in Abuja, Nigeria.

Jupaya AI provides an AI-powered FAQ generation service that allows users to:

• Upload documents (PDF, DOCX, TXT) for FAQ generation
• Scrape websites to extract content for FAQ generation
• Generate intelligent FAQs using artificial intelligence
• Export FAQs in multiple formats (JSON, CSV, Markdown)
• Manage and organize generated FAQs

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 13 years old to use this Service. By creating an account, you represent that you meet this age requirement.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

You agree NOT to use the Service to:

• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Scrape or harvest data from the Service without permission
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Upload content that infringes intellectual property rights
• Generate FAQs from copyrighted material without authorization
• Use the Service for illegal, harmful, or unethical purposes
• Bypass rate limits or abuse free tier allowances
• Resell or redistribute the Service without authorization

Violation of this policy may result in immediate account termination and legal action.

5.1 Your Content

You retain all rights to the content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to:

• Process your documents to generate FAQs
• Store your content temporarily (up to 30 days)
• Display generated FAQs to you

We do NOT use your content to train AI models or share it with third parties (except AI service providers for processing).

5.2 Generated FAQs

The FAQs generated by our Service are owned by you. You may use, modify, and distribute them as you wish. However, we retain the right to use anonymized, aggregated data for service improvement.

5.3 Our Intellectual Property

The Service, including its design, code, algorithms, and branding, is owned by ZEDBINARY LTD and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

6.1 Free and Paid Plans

We offer both free and paid subscription plans. Free plans have usage limits (5 FAQs per month). Paid plans offer additional features and higher limits.

6.2 Billing

• Subscriptions are billed monthly or annually in advance
• Prices are in USD unless otherwise specified
• Payment is processed through secure third-party providers
• You authorize us to charge your payment method automatically

6.3 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellations take effect at the end of the current billing period
• We offer a 14-day money-back guarantee for first-time subscribers
• Refunds are not provided for partial months or unused credits

6.4 Price Changes

We reserve the right to change our pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing cycle.

You agree to indemnify and hold harmless ZEDBINARY LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use or misuse of the Service
• Content you upload or generate

Our Service integrates with third-party services including:

• OpenAI for AI-powered FAQ generation
• Google Cloud Platform for hosting and infrastructure
• Payment processors for billing

We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of them is subject to their respective terms and privacy policies.

10.1 Governing Law

These Terms are governed by the laws of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts in Abuja, Nigeria.

10.2 Dispute Resolution Process

1. Informal Resolution: Contact us at [email protected] to attempt resolution
2. Mediation: If informal resolution fails, both parties agree to mediation
3. Arbitration: Unresolved disputes shall be settled through binding arbitration

10.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions or class arbitrations.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on this page. We will notify users of material changes via:

• In-app notification
• Website banner

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
